1. Acceptance of Terms

By accessing and using the services provided by 3Rivers WebTech (a division of 3Rivers Enterprises, LLC), you accept and agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our website or services.

2. Services Provided

3Rivers WebTech offers a range of technology services including but not limited to:

• Website creation and design (custom hand-coded and WordPress solutions)
• Computer repair and upgrades
• Home technology and residential services
• Point of Sale (POS) systems
• Custom technology solutions and automation
• Urgent technical support

3. Service Area

We provide services within a 50-mile radius of Fort Wayne, Indiana, covering portions of Indiana, Michigan, and Ohio. Service availability may vary based on location and current capacity.

4. Estimates and Pricing

All estimates are provided free of charge and are valid for 30 days unless otherwise specified. Final pricing may vary from estimates if project scope changes or additional work is required. We will communicate any pricing changes before proceeding with additional work.

Payment Terms

• Project-based work: Payment schedule will be outlined in the project agreement
• Hourly services: Payment due upon completion of service
• Hosting services: Paid in advance (discounted prepaid options available)
• We accept various payment methods including cash, check, and major credit cards

5. Ownership and Intellectual Property

Client Ownership

Unless otherwise specified in writing, clients own all completed work products delivered as part of our services, including:

• Custom websites and web applications
• Custom software and automation tools
• Point of Sale systems
• Database systems and custom solutions

License for Third-Party Components

Some projects may include third-party components, frameworks, or software that are subject to their own licenses. We will clearly identify such components and their licensing terms.

Our Intellectual Property

Our branding, logos, proprietary tools, and methodologies remain the property of 3Rivers WebTech and may not be used without written permission.

6. Warranties and Guarantees

Service Warranty

We warrant that our services will be performed with reasonable care and skill. For computer repair services, we offer a 30-day warranty on parts and labor unless otherwise specified.

Website and Software Warranty

Custom websites and software solutions are warranted to function as specified in the project agreement for 30 days after delivery. Bug fixes during this period are provided at no additional charge.

Limitation of Warranty

WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT AS SPECIFICALLY STATED IN THE PROJECT AGREEMENT.

7. Limitation of Liability

To the fullest extent permitted by law, 3Rivers WebTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption arising out of or related to our services.

Our total liability for any claim arising out of or related to our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

8. Data Backup and Recovery

While we take reasonable precautions to protect client data during service delivery, clients are responsible for maintaining their own backups. We are not liable for data loss unless caused by our gross negligence.

9. Hosting Services

For clients who choose to host with us:

• Hosting fees are paid in advance and are non-refundable
• We reserve the right to suspend services for non-payment
• Clients are responsible for ensuring their content complies with all applicable laws
• We provide reasonable uptime but do not guarantee 100% availability
• Backup services may be available for an additional fee

10. Client Responsibilities

Clients agree to:

• Provide accurate information necessary for service delivery
• Respond to requests for information in a timely manner
• Ensure they have the right to use any materials (images, text, logos) provided to us
• Make timely payments as agreed
• Maintain backups of their data and content
• Use our services in compliance with all applicable laws

11. Cancellation and Refund Policy

Project Cancellation

Clients may cancel projects with written notice. Cancellation fees may apply based on work already completed.

Refunds

• Project-based work: Refunds are prorated based on work completed
• Hourly services: No refunds for completed work
• Hosting services: Prepaid hosting fees are non-refundable

12. Confidentiality

We respect the confidentiality of client information and will not disclose sensitive business information to third parties except as required by law or with client consent. Clients agree to keep confidential any proprietary methods or tools we share during service delivery.

13. Same-Day Service

While we strive to provide same-day service when possible, same-day availability is not guaranteed and depends on current service capacity and location. Urgent service requests may incur additional fees.

14. No Subscription Model

Unlike many competitors, we build systems that you own outright. There are no mandatory monthly subscription fees for the solutions we build, though optional ongoing support and hosting services are available.

15. Indemnification

Clients agree to indemnify and hold harmless 3Rivers WebTech from any claims, damages, or expenses arising from:

• Client's use of our services in violation of these terms
• Client-provided content that infringes on third-party rights
• Client's violation of any applicable laws or regulations

16. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Allen County, Indiana, in accordance with the rules of the American Arbitration Association.

17. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions.

18. Modifications to Terms

We reserve the right to modify these Terms & Conditions at any time. We will notify clients of material changes by updating the "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified terms.

19. Severability

If any provision of these Terms & Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

20. Entire Agreement

These Terms & Conditions, together with any project-specific agreements, constitute the entire agreement between 3Rivers WebTech and the client regarding our services and supersede all prior agreements and understandings.
